Document key: platform_tou_v1
Version: 1.0.0
Effective date: 2026-05-28
These Terms of Use ("Terms") govern your access to and use of the Prayana AI platform (the "Platform"), operated by Simple AI Solutions Private Limited ("Prayana", "we", "us"). By creating an account, browsing, or transacting on the Platform, you ("User", "you") agree to these Terms.
1. Who can use the Platform
1.1 You must be 18 years or older to create an account and transact. Minors may be added as travellers on a booking made by an adult.
1.2 You agree to provide accurate, current, and complete information during registration and to keep it updated. Accounts created with false information may be suspended without notice.
1.3 One natural person — one account. You may not share account credentials.
2. Accounts and OTP
2.1 Prayana uses phone OTP, email OTP, and federated sign-in (Google, Apple). You are responsible for safeguarding the device, SIM, or email account associated with these credentials.
2.2 You are responsible for all activity on your account. Notify us immediately at simpleaisolutions@prayanaai.com if you suspect unauthorised access.
3. Prayana's role
3.1 Prayana operates as an online intermediary under section 2(w) of the Information Technology Act, 2000 and is entitled to the safe-harbour protections of section 79 of that Act. Prayana provides:
- a technology platform that displays third-party Activities, Holiday Packages, Transport Services, eSIM products, and other travel inventory;
- payment-collection facilitation; and
- supporting tools (search, AI itinerary planning, messaging, reviews).
3.2 Prayana is not the provider of the underlying Activity, Holiday Package, Transport Service, hotel stay, or guide. Those services are provided by independent third-party operators ("Partners"). The contract for the supply of the service is between you and the Partner; Prayana facilitates that contract and the payment.
3.3 For certain Captain-led holiday packages and Prayana-curated packages, Prayana may act in additional roles (e.g. price aggregator, booking agent). Those additional roles are governed by the Booking Terms and the Package Booking Terms.
4. User-generated content
4.1 You retain ownership of reviews, photographs, questions, answers, and other content you post ("UGC").
4.2 You grant Prayana a worldwide, royalty-free, sublicensable, perpetual licence to host, reproduce, adapt, translate, display, and distribute your UGC in connection with the Platform and Prayana's marketing.
4.3 You warrant that your UGC does not infringe any third party's rights, is not defamatory, obscene, misleading, or unlawful, and was created by you.
4.4 Prayana follows the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules 2021"). On receipt of a valid takedown notice, we will act within the timelines mandated by Rule 3(1)(d) of the IT Rules 2021.
5. Prohibited conduct
You will not:
- scrape, crawl, or harvest the Platform other than via published APIs;
- attempt to access another User's account or Partner dashboard;
- post UGC that promotes illegal activity, hate speech, child sexual abuse material, gambling, or controlled substances;
- circumvent Prayana's commission by transacting with a Partner off-Platform after first discovering them on-Platform;
- use the Platform to launder funds or evade tax.
6. Intellectual property
6.1 The Platform, including its source code, design, AI models, search ranking, and the "Prayana" trademark, are owned by Prayana or its licensors. No licence is granted except as expressly stated in these Terms.
7. Suspension and termination
7.1 Prayana may suspend or terminate your account for breach of these Terms, fraudulent activity, repeated chargebacks, or material harm to Partners or other Users.
7.2 You may close your account at any time after settling outstanding obligations (active bookings, unpaid amounts).
8. Disclaimers
8.1 The Platform is provided "as is". To the maximum extent permitted by Indian law, Prayana disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8.2 Prayana does not warrant that Partner-supplied descriptions, photographs, schedules, or pricing on listings are accurate; the Partner is responsible for listing accuracy under the Vendor Agreement.
9. Limitation of liability
9.1 To the maximum extent permitted by Indian law, Prayana's aggregate liability to you under or in connection with these Terms — whether in contract, tort (including negligence), or otherwise — is limited to the total commission and platform fees Prayana retained from your bookings in the 12 months preceding the event giving rise to the claim, or INR 10,000, whichever is higher.
9.2 Prayana is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of trip enjoyment, or loss of business opportunity.
9.3 This Section 9 does not exclude liability that cannot be excluded under Indian law (e.g. liability for death or personal injury caused by Prayana's own gross negligence; fraud; statutory consumer rights under the Consumer Protection Act, 2019).
REVIEW: counsel required before launch — liability cap quantum and the interaction with Consumer Protection Act 2019, IT Rules 2021, and the Carriers Act for transport verticals.

You agree to indemnify and hold Prayana harmless from any claim, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your infringement of any third-party right, or (c) your willful misconduct.
