Booking Terms — Conditions of Sale

Document key: booking_tnc_v1 Version: 1.0.0 Effective date: 2026-05-28

DRAFT — pending legal review. Counsel review required before launch, particularly Sections 2 (intermediary status), 6 (tax), and 9 (force majeure).

These Booking Terms ("Booking Terms") govern every booking you ("Customer", "you") make on the Prayana platform. They apply in addition to the Platform Terms of Use and the Privacy Policy.

1. Acceptance

You accept these Booking Terms each time you confirm a booking on the Platform. The Platform records the version of these Booking Terms you accepted, together with the date, time, IP address, and device fingerprint, against your booking.

2. Prayana acts as a booking facilitator

2.1 Prayana is a technology platform and booking facilitator, not the service provider. The Activity, Holiday Package, Transport Service, eSIM, ticket, hotel stay, or other travel service you book ("Service") is supplied by an independent third-party Partner ("Partner").

2.2 The contract for the Service is concluded directly between you and the Partner at the moment your booking is confirmed. Prayana facilitates that contract, takes payment, issues the booking voucher, and remits the price (net of commission and taxes) to the Partner.

2.3 For some Services Prayana acts as a disclosed booking agent for the Partner; for others (e.g. Prayana-curated packages, Captain-led trips) Prayana may act as a principal aggregator that combines multiple Partner inventories into a single product. The role applicable to each booking is shown on the Service detail page and again in your booking confirmation.

REVIEW: counsel required before launch — intermediary vs merchant-of-record classification per MakeMyTrip v State Tax Officer and Agoda v ACIT 2024; GST treatment hinges on this classification.

3. Listings and price accuracy

3.1 Service descriptions, photographs, inclusions, exclusions, schedules, capacity, and prices are supplied by Partners. Prayana applies reasonable content controls but does not independently verify every listing field.

3.2 Prices on the Platform are shown inclusive of GST where applicable, in compliance with Rule 4(2) of the Consumer Protection (E-Commerce) Rules, 2020. Where TCS, foreign-exchange conversion, or third-party charges apply, those are shown separately in the price breakdown at checkout.

3.3 If a price displayed is the result of an obvious manifest error (e.g. a ₹50,000 trip listed at ₹50), Prayana may cancel the affected booking and refund the amount paid in full; no other compensation is due.

4. Booking confirmation

4.1 A booking is confirmed only when (a) payment is captured, and (b) the Platform displays a booking reference and emails you a voucher.

4.2 Some listings are sold on an instant-confirmation basis; others are request-to-book and require Partner confirmation within the deadline displayed at checkout. If the Partner does not confirm by the deadline, the booking is auto-cancelled and a full refund is initiated.

5. Payment

5.1 Prayana accepts payments via Razorpay (cards, UPI, netbanking, wallets) and, for international Customers, via Stripe. Payment options shown at checkout depend on currency, geography, and Service type.

5.2 Payment-processing charges, where passed through, are itemised before you confirm. By confirming the booking you authorise Prayana to capture the displayed total.

5.3 Failed payments do not create a booking. Prayana is not liable for the consequences of a payment failure caused by your bank, card issuer, or network.

6. Taxes

6.1 Goods and Services Tax (GST) is collected as required by the Central Goods and Services Tax Act, 2017. Each listing is taxed under one of:

  • 5% (without ITC) — typical tour-operator scheme under section 2(43) read with the Tour Operator entry of the rate schedule;
  • 18% (with ITC) — for services that do not qualify for the tour-operator scheme;
  • Unregistered — where the Partner is below the GST threshold and Prayana collects the platform-fee GST only.

The applicable rate is displayed at checkout.

6.2 For overseas holiday packages, Prayana collects Tax Collected at Source (TCS) under section 206C(1G) of the Income-tax Act, 1961:

  • 5% on the first ₹7 lakh of consideration per Customer per financial year;
  • 20% on amounts above ₹7 lakh.

TCS reflects in your Form 26AS and may be claimed when filing your income tax return.

REVIEW: counsel + CA required before launch of any international SKU — personal liability of principal officer for under-collection of TCS under section 206C(7).

6.3 Prayana issues a GST tax invoice for its platform fee and, where it acts as principal aggregator, for the Service itself. Where Prayana acts as a disclosed agent, the Partner issues the GST invoice for the Service.

7. Cancellations and refunds

7.1 Cancellations are governed by the Cancellation & Refund Policy and the cancellation tier displayed on the listing (Flexible / Moderate / Strict / Non-refundable) at the time of booking.

7.2 Partner-initiated cancellations entitle you to a full refund of the amount paid, including Prayana's platform fee.

7.3 No-shows forfeit the entire amount paid unless the listing's cancellation tier expressly provides otherwise.

7.4 Refund timelines: Prayana initiates approved refunds within 7 working days. Settlement to your card / bank takes a further 5–10 working days depending on your issuer.

8. Chargebacks

8.1 You agree to contact Prayana support before raising a chargeback with your card issuer. Initiating a chargeback without first exhausting the grievance process at Section 11 of the Platform Terms of Use will be treated as material breach.

8.2 Prayana cooperates with card-network chargeback evidence requests and will share booking voucher, communication logs, GPS / scan-in evidence (where applicable), and these Booking Terms.

8.3 Where a chargeback is found in Prayana's favour after settlement to Customer, the disputed amount plus any chargeback fees may be debited from your account or any wallet balance.

9. Force majeure

9.1 Neither you, the Partner, nor Prayana is liable for failure to perform caused by events beyond reasonable control ("Force Majeure"), including:

  • natural disaster (earthquake, flood, cyclone, wildfire, tsunami, landslide);
  • epidemic, pandemic, or quarantine order;
  • act of war, terrorism, civil unrest, riot, or curfew;
  • government order, travel advisory, border closure, or visa-policy change;
  • strike or lockout (other than at the Partner's own workforce);
  • failure of public utilities, internet backbone, or payment infrastructure;
  • closure of an attraction by the operator for safety reasons.

9.2 On a Force Majeure event, the Partner may offer rescheduling or a credit note; if that is impossible, Prayana refunds the amount paid net of any non-recoverable third-party costs already incurred (e.g. visa fees, non-refundable hotel deposits). The exact refund will be itemised.

10. Customer obligations

10.1 You must provide accurate traveller details. Names on tickets and KYC must match government ID; corrections after issue may be chargeable.

10.2 You must obtain valid travel documents (passport, visa, vaccinations) where applicable. Prayana is not liable for refused entry or boarding due to missing documents.

10.3 You must comply with the Partner's on-site rules (safety briefings, dress code, time slots, age limits). The Partner may refuse service for material non-compliance and no refund will be due.

11. Liability — your contract is with the Partner

11.1 Operational liability for the Service (safety, conduct, on-ground delivery) rests with the Partner. Prayana facilitates the booking but does not supply the Service.

11.2 Prayana's own liability is limited as set out in Section 9 of the Platform Terms of Use.

11.3 For adventure activities and water sports, the additional Activity Participant Waiver applies.

12. Governing law, jurisdiction, grievances

As per Sections 11–12 of the Platform Terms of Use.
